Welcome to NDMEDIA. By accessing or using our website, services, or engaging with us for marketing, advertising, or content production services, you agree to the following Terms of Service.
If you do not agree, please do not use our services.
1. Services
NDMEDIA provides marketing, advertising, content creation, lead generation, and related digital services for service-based businesses.
All services are subject to written agreement, proposal, or invoice outlining scope, pricing, and deliverables.
We reserve the right to refuse service to anyone at our discretion.
2. Client Responsibilities
Clients agree to:
Provide accurate and complete business information
Supply necessary access to accounts (ad platforms, social media, CRM, etc.)
Respond to approvals, revisions, and requests in a timely manner
Ensure their business complies with all applicable laws and regulations
NDMEDIA is not responsible for delays caused by lack of client communication or missing materials.
3. Payments & Fees
All pricing will be outlined in writing prior to service commencement.
Invoices must be paid according to the agreed schedule.
Late payments may result in service suspension.
Retainer services require payment in advance unless otherwise agreed.
All payments are non-refundable unless explicitly stated in writing.
4. No Guarantees
While NDMEDIA strives to deliver measurable marketing performance, we do not guarantee specific results, including but not limited to:
Revenue increases
Lead volume
Conversion rates
Platform approval
Marketing performance depends on many external factors including industry, competition, market conditions, and client execution.
5. Intellectual Property
Unless otherwise agreed:
NDMEDIA retains ownership of proprietary systems, frameworks, templates, and internal processes.
Clients retain ownership of their brand assets and raw business data.
Final paid creative deliverables may be used by NDMEDIA for portfolio and marketing purposes unless otherwise agreed in writing.
6. Termination
Either party may terminate services in writing.
Ongoing retainers require 30 days written notice unless otherwise stated.
All outstanding balances remain due upon termination.
NDMEDIA reserves the right to terminate services immediately in cases of fraud, illegal activity, or breach of agreement.
7. Limitation of Liability
NDMEDIA shall not be liable for:
Loss of profits
Business interruption
Indirect or consequential damages
Total liability shall not exceed the total amount paid to NDMEDIA within the preceding 30 days.
8. Confidentiality
Both parties agree to maintain confidentiality of sensitive business information, strategies, and proprietary data shared during the working relationship.
9. Governing Law
These Terms shall be governed by the laws of the State of Arizona, without regard to conflict of law principles.
